1. Agreement to Terms
By accessing or using Devinty's services ("Services"), you agree to these Terms of Service ("Terms"). If you disagree, do not use the Services. These Terms bind all visitors, clients, and users.
2. Services
Devinty offers custom software development, including web apps, API integrations, data dashboards, database optimization, enterprise support, and consulting. Scope, deliverables, timelines, and pricing are detailed in a separate Statement of Work (SOW).
3. Client Onboarding & NDA
Engagements start with:
- Signed Non-Disclosure Agreement (NDA) for confidentiality.
- Detailed Statement of Work (SOW) for scope and terms.
- Project setup in (Jira or ClickUp) for transparency.
- Dedicated project manager and lead.
Work begins only after signed documents and initial payment.
4. Payment Terms
Per SOW:
- Initial deposit (30-50% typical).
- Milestone payments upon acceptance.
- Final payment before delivery.
- 2% monthly late fee on overdue amounts.
- All in USD.
5. Intellectual Property
Upon full payment, you own custom deliverables. Devinty retains rights to:
- Pre-existing tools, frameworks, or reusable components.
- Portfolio reference rights (unless NDA states otherwise).
Open-source elements follow their licenses. No third-party IP infringement.
6. Revisions & Scope Changes
Written Change Orders required. Changes may adjust timelines/costs; revised estimates provided before proceeding.
7. Warranties & Liability
We warrant professional, industry-standard work and a 30-day bug-fix period for our code (excludes client changes, third-party issues, or infrastructure). Liability capped at fees paid for the project. No other warranties express or implied
8. Termination
14 days' written notice by either party. Pay for completed work; receive code paid for. NDA obligations survive.
9. Confidentiality
Both parties agree to maintain the confidentiality of the other's proprietary information as defined in the NDA executed at project commencement. This obligation survives termination of the project agreement.
10. Governing Law
These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes constitutes acceptance of the updated Terms.
